Complete
System Buyers Contract
I. Parties to the Contract
This contract is between Premier Data Systems,
hereafter referred to as PDS, and ____________________________________________________,
hereafter referred to as the Buyer, located
at ________________________ _________________________
on _______________ 19____. This document represents
the entire contract between both parties,
and supercedes any verbal agreements, implied
or expressed, not attached in an addendum.
On the request of the Buyer, PDS agrees to
acquire and configure hardware specifically
for the Buyer, as outlined on Invoice # ______________
(see the attached invoice for the amount and
items on the invoice).
II. Down Payment
For cash, check, or credit card sales, payment
for the hardware items on the invoice is due
in full before any equipment will be ordered
or shipped to the Buyer. The balance on the
invoice will be due upon receipt of the equipment.
For equipment being leased, the Buyer must
be approved for a lease by a leasing company,
a PO issued from the leasing company to PDS,
and a minimum of two monthly payments must
be received by the leasing company before
any equipment is ordered. Unless otherwise
noted, all equipment will be shipped by U.P.S.
ground service at the Buyer's expense.
III. Verification of Delivery and Final
Payment
Upon receipt of the equipment, the Buyer is
responsible for setting up the system within
two(2) business days to verify that all equipment
ordered is present, and that the system is
working properly. If there are any parts missing
or defective, or if the system is not working
properly, the Buyer is responsible for notifying
PDS immediately. Upon verification, final
payment is due, and if leased, a verbal release
to the leasing company must be made.
IV. Warranty Service for Computers and
Hardware
All hardware purchased through PDS is warranted
by the Manufacturer of the hardware and carries
the full manufacturers warranty. All items
except computers can be exchanged within the
first thirty(30) days of purchase if the item
is found to be defective. After 30 days from
time of purchase, the manufacturers warranty
applies. In the event of a problem, PDS will
assist the Buyer in dealing with the manufacturer
to help facilitate and resolve hardware specific
problems. PDS excepts no liability for any
lost time, information, or revenues incurred
as a result of any system being defective,
or needing repair.
V. Dell Computers
Dell computers are warranted by the Dell Corporation.
Dell computers have a three(3) year parts
and labor warranty (the first year is on-site
next-day service) for all components installed
by Dell at the factory. If your Dell computer
requires additional components to be installed
by PDS to meet your needs, the warranty provided
by the manufacturer of the component applies.
For the period of one year from date of purchase,
PDS will provide the labor necessary to repair
or replace components installed by PDS. For
individual component repairs, the Buyer has
the option of having the part shipped to them
and the Buyer can replace the item, or the
Buyer can send the computer to PDS to have
the work performed. Shipping is paid by PDS.
VI. Buyer Provided Computers
For computer systems that PDS configured or
added components to but did not purchase for
the Buyer, PDS will provide the labor necessary
to repair or replace components installed
by PDS for the first ninety(90) days. For
individual component repairs, the Buyer has
the option of having the part shipped to them
and the Buyer can replace the item, or they
can send the entire system to PDS to have
the work performed. During the ninety day
period, the Buyer is responsible for shipping
the system to PDS, and PDS will pay for the
shipping back to the Buyer. After the ninety
days, the Buyer is responsible for the shipping
costs both to and from PDS.
VII. Proper Configuration on Arrival
Complete systems purchased through PDS are
guaranteed to be configured to operate with
the software and hardware correctly upon arrival.
If the Buyer is installing the system, the
Buyer is required to follow the directions
provided by PDS, in order for the system to
perform properly. If the system is still not
functioning correctly, the Buyer may return
the system to PDS using the same method of
original shipment and PDS will correct the
problem at no additional cost and pay for
shipping both ways. PDS reserves the right
to attempt to diagnose and correct the problem
first using standard phone support and remote
support.
VIII.
Canceling the Contract
Should the Buyer wish to cancel this contract,
the Buyer must contact PDS as soon as possible.
If a deposit has already been received, and
PDS has already ordered the equipment, there
will be a 20% cancellation fee to cancel the
contract. If the equipment has not already
been ordered, the Buyer will receive a full
refund.
IX. Returning Computer and Hardware
Should the Buyer wish to return computer hardware
purchased through PDS, they must send the
computer back in it's original packaging to
PDS within thirty(30) days. There is a 20%
percent restocking fee. All hardware, except
computers, can be exchanged within the first
thirty (30) days if the item is found to be
defective. After thirty(30) days, the manufactures
warrantee applies, and typically the customer
is required to get the defective item to an
authorized service center for repair.
XII. Returning Software
Software from PDS, such as QuickStore
Point-of-Sale
and all associated modules, may be returned
for their full purchase value within thirty(30)
days of the purchase. Software returns after
thirty days will not be accepted. Third party
software, such as ICVerify or PCAnywhere may
be returned within the first thirty(30) days
of purchase with a 20% restocking fee.
XIII. Buyer Created Problems
PDS is not responsible for damage and/or any
other problems caused through misuse, negligence,
or ignorance of the Buyer. Changes made to
a system by a Buyer, such as installing new
software or hardware, are made at the sole
risk of the Buyer. If PDS determines that
installing new hardware or software is the
cause of a problem, or if the problem is caused
by the Buyer's misuse, negligence, or ignorance,
the Buyer will be responsible for repairing
the system, or paying PDS to repair it for
them.
XIV. Addendum's
Each addendum added here to this contract
must be initialed by both parties in order
to be binding. They are then considered part
of the original contract and are enforceable.
Any addendum included on a separate document
from this contract must be signed in full
and dated by both parties.
